The National Stock Exchange of India (NSE) has renewed its efforts to go public, formally approaching the Securities and Exchange Board of India (SEBI) for approval of its long-anticipated Initial Public Offering. The move signals a potential turning point for the nation's largest stock exchange after years of delays stalled by significant regulatory challenges.
The IPO was previously sidelined due to the fallout from the co-location controversy, which led to a SEBI-imposed penalty of ₹625 crores and a ban preventing the exchange from accessing capital markets. That restriction, which began in 2019, concluded in November 2021, clearing a major obstacle for the public listing to proceed.
Despite its regulatory troubles, the NSE has demonstrated robust financial health. For the fiscal year 2022, the exchange reported a net profit of ₹5,198 crores on revenues of ₹8,874 crores, a year-over-year increase of 40% and 59%, respectively. This momentum continued into the first nine months of the following fiscal year, with profits reaching ₹4,984 crores. Based on unlisted share trading activity, market observers estimate a potential valuation of around ₹1.5 lakh crores for the exchange.
The proposed public issue is expected to be an offer for sale (OFS) valued at approximately ₹10,000 crores, allowing existing shareholders to divest their stakes. The NSE maintains a dominant position in the Indian market, holding a virtual monopoly in the equity derivatives segment. Its future growth is closely tied to the expansion of India's capital markets and the successful introduction of new financial products.
While the exchange's market dominance and strong profitability present a compelling case for investors, its history of regulatory infractions introduces a significant risk factor. The listing is primarily viewed as a long-term opportunity for investors with a higher tolerance for risk, who are banking on the continued growth of the Indian economy and its financial markets.
